01 Definitions

• "Seller", "we", "us" – webitechi, Jaipur, Rajasthan, India (brand: webitechi), operating webitechi.com and its store.
• "Buyer", "Customer", "you" – the person or entity making a purchase or using the Store.
• "Product" – digital source code, scripts, software, add-ons and related files sold on the Store (e.g. WABA Panel 2026 – NodeJS).
• "Add-on" – a paid premium feature that is unlocked on a licensed panel through the Store.
• "Service" – paid installation, setup, customization or consulting work.
• "License Domain" – the single domain on which a Product license is activated.

02 Nature of the Product

• Products are digital source code provided "as-is" at the time of purchase and delivered as a downloadable ZIP file (Git repository access is not provided).
• The Product is not a hosted or managed service. You deploy and operate it on your own server; you are responsible for hosting, domain, SSL, backups, server security and maintenance.
• Deploying the Product requires technical knowledge (Linux, Node.js, MongoDB, Nginx, PM2) or professional assistance.
• Product descriptions, screenshots and demos describe the Product as of the publication date; features may evolve between versions.

03 License Grant

On payment you receive a lifetime, non-exclusive, non-transferable license for one (1) domain per purchase. No renewal fee is charged for the license itself.

You may:

• Install and run the Product on one License Domain (plus a private local/staging copy for your own testing).
• Modify the source code for your own business use.
• Apply your own branding (name, logo, colours, domain) and operate the installed panel as a service for your own customers/clients.
• Change the License Domain through the Store when you move your installation (the old domain is deactivated).

You may NOT:

• Resell, redistribute, sublicense, rent, lease, share or give away the source code (original or modified), in whole or in part, to any third party.
• Sell "installations", copies or derivatives of the source code as a product.
• Upload the source code to public or shared repositories (GitHub, GitLab, forums, marketplaces, etc.).
• Run one license on multiple production domains, or remove, bypass or tamper with the license/store verification, feature locks or update mechanism.
• Claim original authorship of the source code or use webitechi trademarks without written permission.

Any breach terminates the license immediately without refund and we may deactivate the license, updates and Store access.

04 License Verification & Store Connection

• The Product verifies its license with the Store (webitechi.com) against the License Domain. A valid, active license is required for activation, updates and add-ons.
• For verification, update delivery and add-on activation the installed panel periodically sends technical information to the Store (panel domain, installed version, licence key/status, add-on status, installation health). No end-customer chat content, contacts or message data is transmitted. See our Privacy Policy.
• If the Store is temporarily unreachable, the panel continues to run; prolonged tampering with verification may disable premium features.

05 Updates, Patches & Modifications

• Updates and patches are delivered through the Store to licensed, unmodified installations. We provide them at our discretion and are not obligated to provide updates indefinitely; major new versions or features may be sold separately.
• Once you modify the source code, automatic updates/patches are no longer guaranteed and may fail or overwrite your changes. Updating, merging and maintaining a modified installation is entirely your responsibility. We are not liable for any breakage, data loss or downtime caused by applying updates to modified code.
• We may refuse support or updates for heavily modified installations.

06 Support

• Included with the Product: the written installation guide and basic installation guidance (answers to questions about the documented steps) via WhatsApp/email during business hours (Mon–Sat, 10:00 AM – 7:00 PM IST).
• Full hands-on installation and configuration on your server is a paid Service ("Complete Setup Package").
• Support does not include custom development, debugging of your modifications, server administration, Meta/WhatsApp account approvals, or business consulting, unless purchased as a Service.

07 Add-ons & Premium Features

• Add-ons are licensed to the same License Domain as the base Product and are activated from the Store. They are non-refundable once activated.
• Add-on availability and pricing may change; existing activated add-ons continue to work on the licensed domain.

08 Payments, Pricing & Taxes

• Payments are processed by Razorpay. We do not store card details.
• Prices are shown in INR (unless stated otherwise) and may change without notice; the price at the time of order applies.
• Applicable taxes (GST) are shown at checkout or on the invoice as required by law.
• Delivery is electronic: the download link and invoice are sent to your registered email and are available in your Store account after successful payment.

09 Refunds & Cancellations

• Because Products are digital and delivered instantly, all sales are final, with one exception: a full refund is available within 7 days of purchase if the source code could not be installed/run on your server despite our support.
• Once installed/activated, or after 7 days, no refund is provided. Services are non-refundable once work has started.

10 Third-Party Services & Meta/WhatsApp

• The Product integrates with third-party services, including the official WhatsApp Business Platform / Cloud API (Meta), Facebook, Instagram, Telegram, payment gateways, AI providers (OpenAI, Google, Anthropic, etc.) and others. These are governed by their own terms and pricing, which you must accept and pay for directly.
• Webitechi is not affiliated with, endorsed by or partnered with Meta/WhatsApp unless explicitly stated. WhatsApp and Meta are trademarks of Meta Platforms, Inc.
• Meta may change APIs, pricing, policies or approvals at any time. We do not guarantee Meta Business verification, Tech Provider status, messaging limits, template approvals or account availability.
• Optional unofficial channels (e.g. QR/WhatsApp Web based connection) violate WhatsApp's terms and may lead to number bans. They are provided for testing at your sole risk; we accept no liability for their use.
• API costs, conversation charges, AI token costs and other third-party fees are your responsibility.

11 Buyer's Responsibilities & Acceptable Use

You agree to:

• Comply with all applicable laws, including the Information Technology Act 2000, the Digital Personal Data Protection Act 2023, TRAI/DoT regulations and anti-spam laws of every jurisdiction you message.
• Comply with WhatsApp Business Policy, Commerce Policy and Meta Platform Terms; obtain valid opt-in consent before messaging contacts.
• Not use the Product for spam, unsolicited bulk messaging, fraud, harassment, phishing, illegal content or any activity that harms third parties.
• Secure your server, database, API keys and user accounts; keep backups; keep your hosting, domain and SSL current.
• Be solely responsible for your own customers/end users and the content you or they send through your installation.

12 Disclaimer of Warranties

THE PRODUCT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCT WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE OR UNINTERRUPTED, BE COMPATIBLE WITH EVERY HOSTING ENVIRONMENT, PRODUCE ANY BUSINESS RESULT, OR THAT THIRD-PARTY APIS WILL REMAIN AVAILABLE OR UNCHANGED.

13 Limitation of Liability

To the maximum extent permitted by law, webitechi, its directors, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data, goodwill or business opportunity, arising from the use or inability to use the Product or Services, including account bans or restrictions by Meta/WhatsApp, undelivered messages, failed campaigns, security breaches of your installation, server downtime, or third-party failures. Our total aggregate liability for any claim shall not exceed the amount you paid us for the specific Product or Service giving rise to the claim.

14 Indemnification

You agree to indemnify and hold harmless webitechi from any claims, damages, losses or expenses (including legal fees) arising from your use or misuse of the Product, violation of these Terms or of third-party policies (including Meta), non-compliance with law, content sent through your installation, or modifications made to the source code by you or third parties.

15 Intellectual Property

• The source code, design, architecture, documentation and trademarks remain the intellectual property of webitechi. You receive a license to use, not ownership.
• Modifications you make to the source code may be used by you under the license but do not transfer any rights in the original code and may not be distributed.

16 Services (Paid Work)

• Service packages (Complete Setup, Agency Setup, custom development, verification assistance) are optional and priced separately.
• Timelines are estimates and depend on your cooperation and on third parties. Fees are non-refundable once work begins.
• We do not guarantee specific business results (leads, revenue, approvals).

17 Accounts & Store Access

• You must provide accurate information and keep your Store credentials confidential. You are responsible for all activity under your account.
• Download links and licenses are personal to the Buyer and must not be shared.

18 Suspension & Termination

We may suspend or terminate licenses, updates, add-ons, support or Store access, without refund, if you breach these Terms, redistribute the source code, use the Product unlawfully, tamper with license verification, or initiate a chargeback without contacting us first.

19 Governing Law & Dispute Resolution

• These Terms are governed by the laws of India.
• Disputes shall first be attempted to be resolved amicably by contacting us. Unresolved disputes are subject to the exclusive jurisdiction of the courts at Jaipur, Rajasthan, India.

20 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, government actions, internet or hosting outages, and changes or outages of third-party APIs (Meta, Google, payment gateways, AI providers).

21 Severability, Waiver & Entire Agreement

If any provision is held invalid it will be limited to the minimum extent necessary and the remainder will remain in effect. Failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and the Refund & Cancellation Policy, form the entire agreement between you and webitechi regarding the Store, Products and Services.

22 Changes to These Terms

We may update these Terms at any time by posting the revised version on this page with a new "Last updated" date. The Terms in force at the time of your purchase govern that purchase; continued use of the Store or Services after changes constitutes acceptance.

23 Contact
